End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you ("you" or "User") and BBMM Technologies Inc. (NS Registry ID 4825550) ("BBMM", "we", "us", or "our"), located at 1800 Argyle St, Unit 801, Halifax, Nova Scotia, B3J 3N8, Canada. This EULA governs your use of our software applications and any associated updates and documentation (the "Software"), including Flowo. By installing, downloading, or otherwise using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software. 1. License Grant
Subject to your compliance with this EULA and payment of any applicable fees, BBMM grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your own personal or internal business purposes on devices that you own or control, in the quantities permitted by your purchase or the applicable app store rules.
2. Restrictions
Except as expressly permitted by this EULA or applicable law, you may not: • Copy, modify, or create derivative works of the Software or any part thereof. • Distribute, sell, rent, lease, sublicense, or otherwise transfer the Software or any rights in it to any third party. • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law. • Remove or alter any proprietary notices, labels, or marks on the Software. • Use the Software to develop a competing product or service. • Use the Software in any unlawful manner or in violation of any applicable local, national, or international law or regulation.
3. Ownership
The Software is licensed, not sold. BBMM and its licensors retain all right, title, and interest in and to the Software, including all associated intellectual property rights (including patents, copyrights, trademarks, and trade secrets). No rights are granted to you other than as expressly set out in this EULA. You acknowledge that no title to the intellectual property in the Software is transferred to you.
4. Updates
BBMM may, at its discretion, provide updates, upgrades, or patches for the Software from time to time. This EULA governs any such updates unless they are accompanied by or subject to a separate end-user license agreement, in which case the terms of that agreement will apply.
5. Third-Party and Open-Source Components
The Software may include third-party software components or open-source software licensed under their own terms. Such third-party or open-source terms apply to the applicable components and, in the event of any conflict between those terms and this EULA with respect to such components, the third-party or open-source terms will prevail solely with respect to those components. 6. Apple App Store — Additional Terms
If you obtained the Software through the Apple App Store, the following additional terms apply: • Acknowledgment: This EULA is between you and BBMM only, and not with Apple Inc. ("Apple"). BBMM, not Apple, is solely responsible for the Software and its content. • Scope of License: The license granted to you for the Software is limited to a non-transferable license to use the Software on any Apple-branded products that you own or control and as permitted by the Usage Rules set out in the App Store Terms of Service. • Maintenance and Support: Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software. BBMM is solely responsible for providing any maintenance and support services, to the extent required under applicable law or this EULA. • Warranty: In the event of any failure of the Software to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price for the Software (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be solely BBMM's responsibility. • Product Claims: BBMM, not Apple, is responsible for addressing any claims by you or any third party relating to the Software or your possession and/or use of the Software, including: (a) product liability claims; (b) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation. • Intellectual Property: In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, BBMM, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. • Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof. • Privacy Policy: https://flowoapp.com/privacy • Terms of Use (EULA): https://flowoapp.com/eula
7. Term and Termination
This EULA is effective from the date you first install or use the Software and will remain in effect until terminated. This EULA terminates automatically and without notice if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Software and delete all copies in your possession or control. Sections 3, 5, 8, 9, and any other provisions that by their nature should survive termination will survive.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. BBMM SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BBMM DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. Nothing in this EULA shall limit or exclude any warranty, right, or remedy that cannot be excluded or limited under applicable law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BBMM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF BBMM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BBMM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00). This limitation of liability reflects the allocation of risk between the parties. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, BBMM's liability shall be limited to the maximum extent permitted by law.
10. Export Controls and Governing Law
You agree to comply with all applicable export control laws and regulations, including those of Canada and the United States, and you represent that you are not located in, under the control of, or a national or resident of any country subject to applicable sanctions. This EULA is governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes arising under this EULA shall be resolved in accordance with the dispute resolution provisions set out in our Terms of Use at https://flowoapp.com/terms, which are incorporated herein by reference.
